By installing OPTUM G2, OPTUM G3 or OPTUM CS (“software”), the licensee agrees to the terms and conditions for the software license. The liabilities and provisions for the software are provided in this document and it is therefore essential to read this agreement.
The license agreement is a legal agreement between the licensee and the licensor, Optum CE.
1. Terms of License
Optum CE software requires the licensee to comply with all terms of the software license.
The term Optum CE refers to Optum Computational Engineering situated in Hejrevej 37, 3., 2400 Copenhagen NV, Denmark. VAT number is 35037454.
1.1 For each license downloaded and installed, there must be allocated at least one contact person and company name, which will be covered by this agreement. The same applies to an academic license.
1.2 Use of Optum CE software for commercial purposes requires a valid license and a valid Support and Maintenance subscription. The latter includes technical support as well as bugfixes and enhancements to the software.
1.3 Commercial licenses com with a 6-month free Support and Maintenance subscription. After that, the licensee must renew the subscription on a yearly basis to continue using the software.
1.4 Licensee may enable multiple users to share Optum CE software on a local network, only if the number of users is less than or equal to the number of valid licenses.
1.5 Other relevant information regarding the license and the licensee will be visualized in account information in My Optum.
1.6 It is necessary for academic licensees to renew the license on a monthly basis.
2. Liability disclaimer
Licensee must fully indemnify Optum CE for any costs, claims, demands, expenses and liabilities of any nature arising consequence out of or in connection with:
(a) any breach by licensee of this agreement;
(b) a breach by licensee of copyright or other intellectual property or proprietary right; and
(c) a breach of confidence by the licensee.
Optum CE will not be liable for any defects or damages to the extent it results from:
(a) the use of any Optum CE software product
(b) modification of any Optum CE software products
(c) failure of hardware, software or other products or services not supplied by Optum CE that effects Optum CE software products
Optum CE warrants the use of the software in accordance with the terms of this agreement will not infringe the intellectual property rights of a third party and the software must work substantially in accordance with its documentation and specification.
Optum CE will not warrant the operation of the software that is uninterrupted or error-free. Similarly, with software that will meet licensee particular requirements whether or not those requirements have been made known to Optum CE.
Licensee has tested the software suitability prior to purchase of any licenses.
Licensee may terminate this agreement at any time and Optum CE may terminate this agreement if licensee fails to comply with any term or condition in this agreement.
If payment is not placed, when the credit period of 30 days has exceeded then Optum CE will cease all software connected to this licensee.
Any unauthorized downloading, re-transmission, or other copying or modification of trademarks and/or the contents herein may be a violation of federal or common law, trade mark and/or copyright law, and could subject the copier to legal action.
All information found in the pages of this website is protected under the consolidated Act on Copyright of Denmark and in other countries.
Unless otherwise specified directly by Optum CE, no one has permission to copy, redistribute, reproduce or republish, in any form, any information found in the pages of this website.
6. Academic license
Optum CE provides a free license for academic institutions and students for non-commercial use. Every licensee that wants to make use of this license needs to provide a valid email and name of the institution.
The academic license is not valid for commercial use including:
- Consulting for third parties, whether private or government organizations, by employees of or students at academic institutions.
- Research work partly or fully funded by commercial entities or government institutions other than those concerned exclusively with the promotion and funding of research.
- Workshops, training seminars and similar other than for students at the academic institution that holds the license.
If Optum CE is to gain knowledge that an Academic license is used for commercial purposes, the license will be revoked immediately and the licensee will be subject to prosecution according to Danish law.
This agreement must be administered according to Danish law. Any legal jurisdiction will be determined and decided within Danish law if any disputes may arise in connection with this agreement.
